End-User License Agreement and Terms of Use
These terms are an agreement between you (the person or organization installing or using the Software) and Paneless Apps ("we", "us") about Connect2Books Sync (the "Software"). By installing or using the Software, you agree to these terms. If you do not agree, do not use it.
1. License
We grant you a non-exclusive, non-transferable, revocable license to install and use the Software for your internal business purposes, under these terms and any separate written agreement or license between you and us. You may not resell, sublicense, or offer the Software as a service to others without our written permission.
2. Your systems and accounts
The Software runs on infrastructure you control and connects to your own ConnectWise PSA and QuickBooks Online accounts using credentials you provide. You are responsible for:
- having the right to connect those accounts and to move the data between them;
- keeping your server, credentials, and the Software's web interface secure;
- complying with the terms of ConnectWise and Intuit, including the Intuit terms that apply to QuickBooks Online connections.
3. Your accounting is your responsibility
The Software automates data entry; it is not accounting, tax, or legal advice. You are responsible for reviewing what it creates, for your books, tax filings, and reconciliations, and for configuring mappings, routing, and tax settings correctly. Use the preview, and review results in QuickBooks Online.
4. Third-party services
ConnectWise PSA and QuickBooks Online are third-party services that we do not control. Changes, outages, or limits in those services may affect the Software. ConnectWise and QuickBooks are trademarks of their respective owners; the Software is not affiliated with or endorsed by ConnectWise or Intuit.
5. Privacy
How data is handled is described in our Privacy Policy.
6. No warranty
The Software is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that it will be error-free or uninterrupted, or that it will produce correct accounting results.
7. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to the Software, even if advised of the possibility. Our total liability for any claim relating to the Software will not exceed the amount you paid us for it in the twelve months before the claim.
8. Termination
You may stop using the Software at any time by disconnecting your accounts and uninstalling it. We may end this license if you breach these terms. Sections 3, 6, 7, and 9 survive termination.
9. General
These terms are governed by the laws of the State of Arizona, USA, without regard to its conflict-of-law rules. If any part of these terms is unenforceable, the rest remains in effect. We may update these terms by posting a new version here with a new effective date. Continued use after that means you accept the update.
